Quickaccess is an Internet-based service that enables secure mobile access – over any mobile carrier's open data network – to applications on any registered, Internet-connected PC.

By registering for Quickaccess, visiting and/or using the Quickaccess Website ("Website") and/or downloading Quickaccess Software ("Quickaccess Software") you agree to accept this Code of Conduct as a contract between you and Quickoffice, Inc. ("Quickoffice"). The services provided by Quickaccess and enabled by the Quickaccess Software are referred to in this policy as the Quickaccess Services ("Quickaccess Services"). We refer to those who have registered with Quickaccess and/or downloaded and use the Quickaccess Software as members ("Members").

Acceptable Use of the Quickaccess Services
The Quickaccess Services are for personal, non-commercial use, from a single personal computer. Therefore, Quickoffice reserves the right to suspend or terminate Quickaccess Services where use is not characteristic of typical personal, non-commercial use of the Quickaccess Services, as determined by Quickoffice in its sole discretion.

How does Quickoffice enforce this Code of Conduct?
Quickoffice does not routinely monitor the activity of individual Members for violations of this Code of Conduct. However, in Quickoffice's efforts to promote good citizenship within the Internet community, it will respond appropriately if it becomes aware of inappropriate use of the Quickaccess Services. Quickoffice has no obligation to monitor usage of the Quickaccess Services. However, Quickoffice and its partners reserve the right at any time to monitor storage usage and other user activity, in order to, among other things, operate the Quickaccess Services, identify violations of this Code of Conduct, and protect the Quickaccess Services and Members.

Quickoffice prefers to inform members of inappropriate activities and give them a reasonable period of time in which to take corrective action. Quickoffice also prefers to have members directly resolve any disputes or disagreements they may have with others, whether members or not, without Quickoffice's intervention. However, if the Quickaccess Services are used in a way that Quickoffice or its partners, at their sole discretion, believe violates this Code of Conduct, Quickoffice or its partners may take any responsive actions they deem appropriate under the circumstances with or without notice. These actions include, but are not limited to, the immediate suspension or termination of all or any portion of the Quickaccess Services. Neither Quickoffice nor its affiliates, partners, suppliers, or agents will have any liability for any of these responsive actions. These actions are not Quickoffice's exclusive remedies and Quickoffice may take any other legal or technical actions it deems appropriate with or without notice.

You expressly authorize and consent to Quickoffice and its partners cooperating with (i) law enforcement authorities in the investigation of suspected legal violations, and (ii) and system administrators at Quickoffice, its partners and their Internet service providers or other network or computing facilities in order to enforce this Code of Conduct.

The failure of Quickoffice or its suppliers to enforce this Code of Conduct, for whatever reason, shall not be construed as a waiver of any right to do so at any time. You agree that if any portion of this Code of Conduct is held invalid or unenforceable, that portion will be construed consistent with applicable law as nearly as possible, and the remaining portions will remain in full force and effect.

You agree to indemnify, defend and hold harmless Quickoffice and its affiliates, partners, suppliers, and agents against all claims and expenses (including reasonable attorney fees) resulting from any violation of this Code of Conduct. Your indemnification will survive any termination of your Quickaccess account.

Modification
This Code of Conduct remains in force as long as you continue to use the Quickaccess Software and/or Website. The Code of Conduct is not exhaustive, and Quickoffice may choose to modify it at any time without prior notice.

Caution
You agree that you are entirely responsible for the files you choose to upload via the Quickaccess Services. You also agree that Quickaccess has no liability for material or other harm caused by the actions or files uploaded by Members of Quickaccess Software, and you agree to remove from Quickaccess all indemnity arising from the legitimate administration of the Quickaccess Services.

You recognize that Quickaccess may, at its discretion, share uploaded files as it deems necessary with law enforcement officials if subpoenaed.

Removal
Quickaccess reserves the right to delete material uploaded through the Quickaccess Software, remove the User's account, and otherwise suspend access to and use of the Quickaccess Services for the following reasons: 1) violation of this Code of Conduct; 2) actions we reasonably believe are misrepresentative, fraudulent, or illegal; 3) accessing, or attempting to access restricted information, or files that you (or other Quickaccess Members) do not have legitimate access to; 4) automated or fraudulent creation of Quickaccess accounts; and 5) as determined by Quickoffice. Uploaded material or access to the Quickaccess Services may be suspended or removed without notice.

Prohibited Content
Not all files or file types are acceptable for use on Quickaccess. You agree not to upload the following prohibited files:

  • Files that represent or are part of illegal and/or criminal activity.
  • Files that violate any laws, regulations or community standards.
    • For international Users of the Quickaccess Services, this includes all applicable local laws, controls, and restrictions on the export of data to the United States.
  • Files relating to, representative of, or constituting Child Pornography.
  • Files that interfere with the legitimate use of Quickaccess Services by the company or other Users, including:
    • Files that modify adapt or translate all or part of the Quickaccess Software and/or Website.
    • Files, scripts or code that reverse engineers all or any part of the Quickaccess Software and/or Website.
  • Unauthorized copies of copyrighted work.

Copyright Policy
The Quickaccess Services are not meant to be used for the distribution of copyrighted material by anyone other than the copyright holder, their authorized agents, or those with proper permission to distribute the material. You are prohibited from using the Quickaccess Services to upload, transfer, trade, or otherwise distribute copyrighted material that you do not have privileges to do so with. Quickoffice also reserves the right to remove any copyrighted material it finds in violation of this code of conduct.

Deletion
Although you are free to use the Quickaccess Software to upload the files on your computer(s) for access via your mobile phone or another computer, Quickoffice may, at its sole discretion, remove all record of these files from its servers. Materials that do not fall under the scope of acceptable use of the Quickaccess Services, and may be removed, include:

  • Files that are deemed by Quickaccess to be reasonably offensive, harassing, exploitative or harmful to other Quickaccess Users or a particular group.
  • Files that promote or abet criminal activity or illegal action.
  • Files that contain viruses, Spyware or other harmful computer code.
  • Files representing copyrighted material not expressly licensed, contracted to, or owned by you.

SPAM / Email Invite Policy
You will not use the Quickaccess Software to transmit, either directly or indirectly, or facilitate the transmission of any unsolicited bulk or commercial email ("Spam"). Similarly, you will not use the "Invite" feature to threaten, disrupt, inflame, intimidate, libel, stalk, defame, or defraud anyone.

Quickoffice reserves the right to change or update this Code of Conduct, and you are encouraged to periodically check this page for updates.

Third Party Beneficiary
SoonR, Inc., a Delaware corporation ("SoonR") provides software, technology and services which enable the Quickaccess Services. SoonR shall be expressly deemed an intended third party beneficiary of this Code of Conduct, and shall have the right to enforce the provisions of this Code of Conduct.
